Beth A. Patterson Crews focuses her practice on corporate and business law, mergers and acquisitions, corporate governance, commercial transactions and corporate tax structuring. At the beginning of her career, Beth worked at the big four accounting firms as an international tax consultant in Philadelphia, Pennsylvania.  In 2003, Beth returned to South Florida to practice law at a large international law firm and a mid-size law firm. She then became a Senior Vice President and Deputy General Counsel for a public company where she practiced merger and acquisitions, corporate governance, general corporate, healthcare and employment law, as well as acted as a business advisor to C-suite executives and the Board of Directors. With Beth’s work experience in business and law, she is able to identify the best plan to solve a corporation’s legal issues and analyze the corporation’s business obstacles in order to determine that the proposed plan is the best solution for the organization’s immediate and future business needs.

  • Represented a SPAC in a $3 billion acquisition
  • Represented a public company in quarterly tax restructurings
  • Represented a public company in refinancing a $1 billion line of credit
  • Represented a biotech public company traded on the NYSE in (i) a sale of all its assets of two subsidiaries for stock and (ii) then an acquisition of a privately held company
  • Represented a client in a private offering followed by a reverse merger into a NYSE company
  • Represented a real estate developer against the IRS and won a $5,000,000 tax refund
  • Represented a Florida communication company in connection with the sale of all its assets to 2 large cable companies for $24.9 million
  • Represented a Florida real estate developer in a $100 million joint venture with a private equity firm
  • Analyzed and implemented new pay structure for exempt and non-exempt employees for several companies to avoid federal and state employment issues
  • Represented various physician groups in connection with the sale of their practices, corporate governance, and health law issues
  • Represented various real estate developers in connection with the planning and organization of their entities and all corporate matters
  • Represented a communication company in connection with a private offering of $150 million and a tender offer and consent solicitation for notes
