• Counsel for the merger of two restaurant service companies serving as founding group in connection with an industry roll-up.
• Represented waste services company in unwinding and dissolution of partnership with a competitor involving multiple landfill gas-to-energy projects.
• Represented a client in connection with the purchase of a 50% interest in a Florida based cable company.

• Represented a wholly owned subsidiary of a large Florida public utility in connection with a secured $250 million dollar construction loan.
• Acted as bond counsel to a Pennsylvania statewide financing authority in connection with the issuance of $90 million in tax-exempt bonds to fund a new gypsum wallboard facility.
• Represented a non-United States corporation in connection with various “portfolio loans” into the United States.
Private Equity
Obtaining private equity funding can allow an idea to grow into a successful business. Our attorneys have decades of experience in representing early and later stage companies in connection with private equity transactions, as well as experience in representing funding sources. One important consideration in any private equity transaction is the form of the equity investment and our attorneys have the knowledge and experience to guide our clients through this critical step.

• Coordinated the investment of $21.5 million from four venture funds in a Florida based voice-recognition company.
• Represented a greenhouse gas credit aggregator in connection with $8 million in funding from a New York investor.
• Represented a medical imaging company when it obtained $15 million to finance its virtual colonoscopy project.
• Represented Fortune 500 waste services company in connection with the reorganization of a $12 million landfill gas-to-energy project involving a new developer, new investor, and multiple secured parties.
